HUK 501 Scientific Research Methods

This course is specifically designed for lawyers. It focuses on how to conduct scientific research in general and how to translate it into writing.


SBE 595 Seminar

Supervisors and students together will evaluate previous research on the basis of rules of academic writing and discuss how to apply skills related to critical reading, understanding, synthesizing and contrasting and comparing. Students will work together with an assigned instructor on a selected area in their discipline. Students are also required to write a paper/report in this seminar.


SBE 599 Master Thesis

This course consists of independently conducting a research project and acquiring the necessary skills required in the process. The student initially specifies a research problem with an advisor, makes a screening and review of the literature. By analyzing the methods used in studying the problem and considering the previous limitations, the student specifies an original research design, hypotheses and measurement tools of the study. Finally, data is collected and analyzed and a thesis including the writing of the theoretical basis, method, results and discussion of the research.


HUK 502 Mergers, Division and Type Alteration

This course consists of principals of mergers, divisions and type alterations within the frame of Turkish Commercal Code.


HUK 503 Subcontracting in Labour Law

The content of this course consists of the impacts of ‘’subcontractor’’ on Labor Law and labor rights both in the World and Turkey. Basic topics of this lesson are theconcepts of employee, employer and subcontractor in Labor Law, employer and employee’s rights and obligations which arises from employment contract and the impacts of subcontractor on these rights and obligations, legal provisions of subcontractor and simulation, effects of subcontractoring on fundamental rights and freedoms and social rights in the framework of fundamental principles of Labor Law.


HUK 505 Contracts of Maritime Commerce

Types of Contracts of Maritime Commerce, National and International Legislation Applied to the Contracts of Maritime Commerce, Insurance of Interests Which Are Subject to Contracts of Maritime Commerce against a variety of risks and Legal Remedy Ways arised from Contracts of Maritime Commerce will constitute the content of this course.


HUK 507 Commercial Arbitration Law

Arbitration, International Arbitration, arbitration as a way of dispute resolution, New York Convention, Geneva Convention, ICSID Convention


HUK 509 Liability of BoD Members in Joint Stock Corporations

Formation of executive boards in incorporations, requirements of becoming a member of executive board, functions and operation of the executive board, executive board in single incorporations, principles of legal responsibility of members of executive boards, duties of members of executive boards, termination of membership in executive boards, corporate management and executive boards meeting through electronic media constitute the contents of this course.


HUK 551 The Protection of Employees Against Psychological Harassment

In line with the objective, the course will begin with the conceptual analysis of the psychological harassment. The legal situation in comparative law shall be reviewed. The employer’s duty of care and equal treatment will be evaluated. The course then analyse the right to compensation, termination of the contract of employment and refuse/stop work, as the rights of the workers. The students will be required to make the assesment on how to fill the legal loophole by the help of the decisions made by the court worldwide.


HUK 552 Internet Law

Course’s content consists of examination of e-setting, e-government and e-commerce, electronic contracts, unfair competition on internet, breaches of intellectual property rights and personal rights.


HUK 553 Legal Ethics and Responsibilities of Lawyers

Legislation and case law about legal ethics and responsibilities of lawyers.


HUK 554 Cheque Law

This course contains the check concept, legislation about the cheque, papers similar the cheque, the shape of the cheque, the elemants of the cheque, drawing of the cheque, transfer of the cheque, payment of the cheque, the acts fort he payment of the chegue, kite cheque, legal effects of the bounce of the cheque, the loss of the cheque.


HUK 555 Flexicurity Practices and Its Legal Consequences

In line with the objective, the course will begin with the conceptual analysis of the flexicurity. The legal situation in comparative law shall be reviewed. The course then analyses the forms of flexibility and security in labor law and social security law. The regulations on these forms will be discussed in details. Some of the subjects that will be thaught during the semester are: atypical working patterns (that is imported in to Turkish legislation with the Law no. 4857 and heavily discussed since then), job security and severance pay fund, etc.


HUK 556 Legal Responsibilities Of Employers About Occupational Health and Safety

Concept of Occupational Health and Safety within the context of Right of Health, Occupational Health and Safety in Turkish law and Comparative law, Convention and recommendations of ILO(International Labour Organization), WHO(World health Organization) and European Union about occupational health and safety, the obligation of employer to protect employee and legal responsibilities, related public bodies, inspection organization, unions and professional chambers, and duties and responsibilities of them, Occupational Health and Safety organization in workplace and sanctions.


HUK 557 Collective Labour Law

Collective labour relations meaning the protection of labour rights with the ways of collective agreement and acts, the procedure of collective bargaining, collective agreement, strike and lock-out, history of trade unions in the world and Turkey, international and domestic law about collective agreements, evaluation of Turkish Collective Labour law within the context of ILO conventions and comparative law.


HUK 558 United Nations Convention for the International Sale of Goods

The Vienna Sales Convention entered into force in Turkey on August 1, 2011. In this course; the structure, principles and rules of the Vienna Sales Convention shall be introduced to the students and the following basic legal subjects shall be discussed: Interaction between the Vienna Sales Convention and the private international law, jurisdiction and domestic law, general provisions and application of the Convention, formation of the contract, rights and obligations of the parties, transfer damage and loss, legal actions that may be taken by the injured party in case of breach of obligations.


HUK 560 European Union Insurance Law

Reviewing the insurance organizations and institutions in developed countries in EU and in Europe, and in Turkey, and their interaction with each other constitute the main content of this course. Basic subject titles can be listed as: EU Insurance Legislation and its Structural Features, Legal Dimension and Structural Analysis of Turkish Insurance System, Insurance Organizations and Institutions, E-Insurance and E-Reinsurance Procedures, Insurance in terms of the Code of Competition, Reinsurance Sectors, and Arbitration in Insurance.


HUK 561 Freedom Of Movement In The European Union

The basic subjects regarding the freedom of movement in the EU shall be discussed and Turkey’s status will be examined subsequently.

HUK 563 Social Security Branches

In line with the objective, the course will begin with the concept or social security and social risks. The characteristics of social security, the duties of the employers and the scope of the social security shall be reviewed. The course then analyses the insurance of occupational accidents and professional diseases, illness insurance and maternity insurance as short term social security branches; and, invalidity insurance, old age pension and survivors insurance as long term social security branches.


HUK 564 Private Law Disputes in the application of the European Convention of Human Rights

The mechanism of individual applications; Convention for the Protection of Human Rights and Fundamental Freedoms in the field of private law; special convention expressions, like “determination of his civil rights and obligations”; procedural rights; Binding force and execution of judgments.


HUK 565 Foreign Direct Investments

While foreign investments increase day by day in Turkey, many projects are carried out abroad by Turkish investors. With this regard, the protection of foreign investments has gained great importance. The protection of foreign investments are ensured by national legislation, bilateral and multilateral agreements on the protection and promotion of investments. In this course, foreign investment, foreign investor, rights of foreign investors and protection of these rights shall be introduced and discussed within the Turkish Foreign Direct Investment Law and respective bilateral and multilateral agreements where Turkey stands as a contracting party. Furthermore, the resolution ways of foreign investment disputes, such as ICSID arbitration, will be examined.


HUK 566 Impact of Tax Law on Law of Contracts

Impact of tax law on private law contracts, rules applied by tax administration for the interpretation of private law relations and judicial approach to the issues in question.


HUK 567 Tax Problems of Commercial Law

The taxation problems encountered in commercial law are explained by examples and the place and effect of tax law rules are shown in the solution of commercial disputes


HUK 570 Legal Aspects of Audit in Enterprises

In the course, the concept of auditing and auditing standards will be explained. It will be emphasized that the basic financial statements prepared with accounting means what the decision makers care about. The legal aspects of the subject will be discussed by considering the legal regulations regarding the external audit and tax audit. Emphasis will be given to the risks of the assets, liabilities and equity management of the enterprises, and information will be given about the measures to be taken for the timely recognition of these risks. The content and preparation of the Situation Assessment Report, which is important in acquisitions, transfers and mergers, will be explained. Finally, the way of reconciliation and dispute resolution will be dealt with in the resolution of the disputes that will arise after the operation audits. In this way, the legal aspects of the audit in enterprises will be given.
