Course Objectives To release information about the basic principles of company law, the current developments in the company law.
Learning Outcomes The students who succeeded in this course;
  • Examine the importance, functioning and legal regime of ordinary partnership.
  • Determine the personal partnership feature of limited and general partnerships, their differences from capital partnerships and their legal regime.
  • Examine basic principles of capital partnerships and their dissimilarities from personal partnerships.
  • Describe one-man corporations, the rules of one-man corporations and their dissimilarities from other types of partnerships.
  • Discuss the rules regarding functioning and supervision of corporations.
  • Discuss the basic structure of limited liability companies, the functioning of their bodies, their representation and expiration.
Course Content Partnership and historical development of partnership; partnership in the Turkish legal system and their types; factors in a partnership relation; ordinary partnerships; general partnerships, limited partnerships; joint stock companies; limited liability companies.
